We have advised Kingspan Group plc on its agreement to acquire BMC Manufacturing Group.
Kingspan is a global leader in high performance insulated building envelopes and bespoke critical infrastructure. BMC is a fast-growing power management systems business, which designs, engineers and manufactures low voltage switchgear and critical power management solutions for the data centre industry. The initial consideration for the shares will be €850 million on a debt-free cash-free basis, plus potential deferred consideration of up to a further €50 million contingent on achievement of significant profit targets. The initial consideration will be satisfied by €600 million in cash plus the issue of €250 million new shares in Kingspan.
