James is Director in the Company Compliance and Governance Group, an affiliate of the Association of Chartered Certified Accountants and a fellow of the The Chartered Governance Institute UK & Ireland. He has also completed the UCD Michael Smurfit Graduate Business School Diploma in Corporate Governance.

James advises across a range of company secretarial and corporate governance matters, including incorporations, share movements (transfers, allotments and cancellations), appointments and resignations of board members, voluntary strike offs, annual and extraordinary general meetings, attendance and minute taking at board meetings. He also advises various clients on ongoing compliance with annual filing requirements, maintenance of statutory registers and minute books and engagement with the Companies Registration Office, Revenue and the ODCE.

James works very closely with our US offices in both New York and California in bringing US clients to Ireland, assisting in the initial stages of set up and also maintaining the statutory books for all new Irish entities post incorporation.

Having completed his Diploma in Corporate Governance James also provides corporate governance advices to a number of clients which include reviewing Constitutions  to ensure they fit with an organisations goals, providing advices on appropriate board and ownership structures for private limited companies, companies limited by guarantee and also public limited companies. He also advices on the preparation/procedure associated with holding general meetings, particularly the Annual General Meeting. 

James assists our M&A Groups on a regular basis with any due diligence exercises that may be undertaken during a proposed merger/acquisition. This involves reviewing the corporate books of a target company and drafting due diligence reports based on any gaps discovered in legal title, statutory registers etc which may have a bearing on any proposed deal.
