Jonathan advises on the tax aspects of a broad range of commercial transactions and advises across tax heads in a wide range of areas including corporate, mergers and acquisitions, corporate migrations, investment funds, structured finance, banking and property.
Experience
Some of the recent transactions Jonathan has advised on include:
- Advising Lloyds Banking Group plc on the cross-border merger of Bank of Scotland (Ireland) Limited with Bank of Scotland plc
- Advising Warner Chilcott plc on a dividend recapitalisation transaction involving a special dividend of $2.14 billion in aggregate
- Advising James Hardie Industries on Irish tax issues in connection with its transformation to a Societas Europaea company (SE) and its migration to Ireland
- Advising Willis Group on its migration to Ireland
- Advising on the cross-border merger of Eurco Finance Limited into Dexia Insurance Belgium SA
- Advising NASDAQ listed Warner Chilcott on its migration to Ireland and on the acquisition by it of the global pharmaceuticals business of The Procter & Gamble Company for a purchase price of US$3.1 billion
- Advising Belgian listed ThromboGenics NV on a cross-border merger with its Irish subsidiary, ThromboGenics Limited
- Advising the German bank Landesbank Baden-Württemberg on the first outbound cross-border merger in Ireland under the Directive
- Advising lessors on the establishment of leasing vehicles in Ireland
