John practices in corporate and commercial law with particular emphasis on corporate finance, domestic and cross border mergers and acquisitions, joint ventures, reorganizations, IPOs and fund raising (both for public and private companies) and corporate reorganisations.

Experience

John has acted for various domestic and international businesses. He has worked on significant transactions with the following clients:

  • Acted for a syndicate of senior lenders on the reorganization of the Quinn Group.
  • Acted as Irish counsel to Thoma Bravo, LLC in relation to its acquisition of LANDesk Software, Inc.
  • Advising Montreux Equity Partners on an investment and joint venture in relation to Global Consolidated Aesthetics Limited.
  • Advising CapVest/Valeo Foods on the acquisition and merger of Batchelors and the Origin Foods business (which includes the Odlum, Shamrock and Roma brands).
  • Acted for The Royal Bank of Scotland plc in relation to the sale of its Irish gateway, payment processing and merchant acquiring businesses to Worldpay.
  • Advised Northern Rock plc on the reorganisation of its Irish banking operations.
  • Advised Orona Holding S.A, a leading Spanish lift manufacturing and service company, in relation to its acquisition of the Mid-Western Lifts group of companies.
  • Advising Ulster Bank on the transfer of the banking business of First Active plc to Ulster Bank Ireland Limited.
  • Acting for the shareholders of mTLD Top Level Domain Limited (Vodafone, Microsoft, Nokia, Google, Visa, Ericsson, Samsung, Deutsche Telekom, Telecom Italia and others) with respect to its sale to Afilias Limited.
  • Acted for Applus in relation to its acquisition of the business and assets of the National Car Testing Service.
  • Advised for a consortium of US individuals and companies in relation to the sale of Ashford Castle.
  • Acted for Siteserv plc in relation the admission of its shares to trading on the AIM and IEX markets and the subsequent acquisition of each of the subsidiaries in its group, including the recent acquisition of Sierra Communications Limited and Deborah Services Limited (in the UK), which involved a reverse-takeover under the AIM Rules.
  • Advised Stratos Global Corporation in relation to the financing of its acquisition of the Xantic group of companies and in respect of all general Irish corporate law matters.
  • Advised Park Group plc on its acquisition of the Celtic Hampers and Family Hampers businesses.
