David’s areas of practice include structuring, negotiating, implementing and restructuring a wide range of financing transactions. David acts for both financial institutions and corporate and individual borrowers across a wide range of domestic and cross-border finance transactions. These include asset and property finance, secured and unsecured finance and acquisition finance; through bilateral, club and syndicated deals. David also has extensive experience in advising on financial services law and regulatory matters. David has been with the Firm’s Banking Group since his qualification as a solicitor in 2003.

Experience

  • Advising NTMA (as Manager) - National Pensions Reserve Fund – worked on due diligence team in the €3.5 billion recapitalisation of a large Irish financial Institution.
  • Involved in reviewing and advising the NPRF on sections of the property/development loan book of the institution.
  • Corporate Banking Division - Syndicates of Irish Banks – Advising two syndicates of Irish banks and negotiated initial facility and security documentation and numerous rollovers of facilities and amendments to facility and security documentation relating to facilities totalling €120 million to an Irish corporate.
  • Corporate Banking Division - Irish Financial Institution – Advised an Irish financial institution in relation to senior facilities in excess of €300 million to refinance a large investment and development property portfolio and on negotiations between the senior lender, mezzanine finance providers, shareholders and other stakeholders in relation to the structure of the transaction, the facility documents, the security documents, and the intercreditor arrangements.
  • Corporate Banking Division - Irish Financial Institution – Advised a club of Irish banks in relation to the financing of an acquisition of a UK plc with facilities of over €60 million and on a subsequent restructuring of the facilities.
  • Advised on the Irish financing aspects of the migration to Ireland of a global financial services corporation.
  • Acting for the National Asset Management Agency (NAMA) in relation to numerous tranches of due diligence on acquired loans and in relation to its restructuring and other options on acquired loans with a range of borrowers.
