Our Tax Group is one of the leading taxation law practices in Ireland and is now at the forefront of transactions in the structured finance area as well as maintaining its traditional strength in corporate finance, corporate migration, mergers and acquisitions, banking, investment funds, real estate and international tax.

The Group works on an integrated basis with teams in the corporate, finance, real estate, litigation and other practices in the firm. The Group also provides a strong "front-end" service, where our team of professionals takes the lead on advisory and transactional matters.

The Group is comprised of tax advisers, whose various backgrounds and abilities enables us to provide a fully comprehensive and commercially sound business tax service to a wide range of domestic and international clients from all sectors.

The Arthur Cox tax team has a wealth of experience on a wide range of transactions and for a broad and diverse range of clients across all sectors and increasingly, with an international element. We have set out below just some of the deals we have worked on in the recent past:

  • Arthur Cox has acted as tax and legal advisers on almost all major multi-nationals migrating into Ireland including Accenture, Cooper Industries, Covidien, Charter plc, Ingersoll-Rand, Shire plc, James Hardie and Warner Chilcott.
  • The tax team has advised on various cross border European mergers including the merger of Sachsen Bank’s Irish operations (SLBE) with Landesbank Baden-Württemberg in Germany.
  • Arthur Cox acted as legal and tax advisers to GUS Plc in relation to the demerger and public listing of Experian Group and Argos Retail Group (ARG). Experian is a member of the FTSE 100 and the Dow Jones and has a market cap of about €9 billion. Both groups are listed on the London Stock Exchange.
  • Advised a syndicate of five banks on the Irish aspects of a US$ 500 million cross-border refinancing of the debt of the ROLF Group.
  • Arthur Cox advised Hypo Real Estate Holding AG (“HRE”) on a refinancing of the Hypo/Depfa group by the Deutsche Bundesbank and the German Government and a consortium of banks led by Deutshe Bank as part of a major recapitalisation of the German banks driven by the German government.
  • Arthur Cox advised ESB on the disposal to Endesa SA of an ESB subsidiary which owns certain power generating assets of the ESB including the Tarbert and Great Island Power generating plants. The value of the assets was circa €450 million.
  • The tax team were involved in advising Airtricity Holdings Limited, a leading wind energy company, in relation to its sale to Scottish and Southern Energy Plc for an equity value of approximately €1.1 billion.
  • The tax practice was involved in the establishment of Solaris Mobile Limited, a joint venture between SES ASTRA and Eutelsat which offers Mobile Satellite Services (MSS) in S-Band.
  • Arthur Cox also acted as tax advisers to Aer Lingus on its IPO which took place in September 2006.
  • The tax practice advises on numerous securitisation, CLO, CDO, CMBS and synthetic finance transactions as part of the Firm’s very successful capital markets practice.
