Colin is a Partner in the Corporate and Commercial Department with a broad based commercial practice and particular focus on the Life Sciences and Media industries. Colin’s corporate and commercial practise focuses principally on commercial arrangements between companies and corporate reorganisations across a wide range of industries. Colin is also head of the firm’s Media and Entertainment Group and advises a broad spectrum of clients on commercial, regulatory and intellectual property matters relating to the media industry. | Practice Areas |
Corporate Commercial
- Advising both buyers and sellers of utilities and fuel businesses on their post transaction arrangements relating to the supply of products, services and cooperation, both on a transitional basis and in the longer term
- Advising a national health body on the drafting and negotiation of a major contract for the supply of testing services
- Advising one of Ireland’s largest agri-business companies on its supply and contract manufacturing arrangements, both in Ireland and overseas
- Advising one of Irelands largest insurers on several contracts relating to the provision of insurance services and broking arrangements
- Advising an explosives company on its contractual arrangements relating to the supply of explosives, related equipment and services
- Advising companies across a wide range of industries on their business and contractual terms and on disputes arising in relation to them
Reorganisations
- Advising a range of industries, and in particular multinational pharmaceutical and medical device companies on corporate reorganisations, both large and small. Typically these reorganisations involve share or business and asset transfers, capital contributions, distributions and other related tax and structural advice
- Advising companies on pre-sale spin outs or hive downs of business divisions, including recently advising a large US multi-national on the Irish aspects of a multi billion dollar spin out and subsequent sale of a division
Media and Entertainment
- Colin advises broadcasters on regulatory and contractual issues; film and television companies on project finance and production; distributors on their contractual arrangements; record labels and performers in the music industry on contractual issues and regularly advises across a range of industries on advertising, sponsorship and promotional regulation and contracting
- Colin has recently advised the Irish Film Board on project financing and securitisation and is currently advising several production companies on the financing and production of film and television projects
- Advising the publishers of several of Ireland’s leading magazines and books on the acquisition of titles, the printing and distribution of their own titles and on their contributor agreements
- Colin has recently advised a number of independent record labels on their structure and financing in addition to management, recording and production contracts. Colin also advises well known performers on their recording, management, touring and promotional contracts
- Advising a range of public service and independent commercial television and radio broadcasters on the regulatory and commercial issues arising on both business and programming acquisitions; on the interpretation of broadcasting legislation; and on their dealings with broadcasting regulators, both in Ireland and overseas
- Advising both advertisers and advertising agencies across a range of industries on regulatory and commercial issues arising out of the production of television, radio, print and on-line advertising, sponsorship of events, celebrity endorsements and event management
