Overview

The Act

The Companies Act 2014 was enacted on 23 December 2014, and was commenced on 1 June 2015.

It had previously been formally published as the Companies Bill 2012 on 21 December 2012, and prior to enactment completed Committee Stage in the Dáil on 6 November 2013, Report Stage in the Dáil on 2 April 2014, Committee Stage in the Seanad on 17 June 2014, and Report Stage in the Seanad on 30 September 2014.

Volume 1 – being Parts 1 to 15 of the Act – had been published in draft on 30 May 2011, and sets out in comprehensive fashion the law relating to the private company limited by shares, being by far the most common type of corporate entity used by business. Each Part in this Volume addresses a particular area of company law, and sets out in one place the law relating to that issue.

Volume 2 comprises Parts 16 to 25 of the Act. Each of these Parts addresses one of the remaining types of company, e.g. public companies, guarantee companies, unlimited companies etc.
