Caroline is co-chair of our Tax Group. She has extensive experience in advising both domestic and international companies on structuring their tax affairs for various types of transactions, including tax planning,  such as IP structures, efficient cash extraction methods, advising on tax aspects of M&A transactions, loan portfolio transactions, restructuring, and financing structures, including aircraft and equipment leasing. Caroline also leads our Asia Pacific Group.



  • Advises on tax issues associated with setting up in Ireland including tax aspects of servers located in Ireland, maximising tax incentives available in Ireland, efficient repatriation of profits, tax aspects  relating to data and IP in Ireland and other tax advices;
  • Advises various multinationals on the tax structuring of their Irish operations, including re-domiciliation in Ireland, acquisitions, and financing structures;
  • Advises domestic and international companies on intellectual property structures, including moving IP into and out of Ireland, managing withholding taxes, devising structures to maximise allowances, either onshore or through bespoke transactions;
  • Advises on financing and securitisation transactions for various asset classes and jurisdictions including Russia, Germany, France, China, Korea, UK and US;
  • Advised Paddy Power on certain tax aspects of its merger with Betfair;
  • Advises in relation to tax issues arising relating to capital raising by Irish banks and non Irish banks;
  • Advises various universities on their outward expansion into other jurisdictions in a tax efficient manner;
  • Advice DTC of New York on Irish tax aspects of its transactions involving the Eaton Cooper merger; Jazz Pharmaceuticals; Fleetmatics; Accenture; Pentair; King; Endo Elan and others;
  • Advised Platform Specialty Products on the tax aspects of its USD3.51 billion acquisition of Arysta Life Science
